1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Fintactic OÜ (registry code: 17272582, A. Lauteri tn 3, 10114 Tallinn, Estonia) ("Fintactic", "we", "us", or "our").

By accessing or using our financial analytics platform ("Service"), you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

• "Service" means the Fintactic financial analytics platform, including all features, tools, and AI capabilities.
• "User Data" means all financial data, documents, and information you upload, import, or create within the Service.
• "Entity" means a company, organization, or business unit for which you use the Service.
• "Subscription" means the paid plan granting access to Service features.

3. Service Description

Fintactic provides a cloud-based financial analytics platform that enables businesses to:

• Import and manage financial data from various sources
• Generate automated financial reports (P&L, Balance Sheet, Cash Flow)
• Create budgets and forecasts
• Receive AI-powered insights, anomaly detection, and variance analysis
• Collaborate with team members on financial data

The Service is provided as a tool for financial analysis and is not a substitute for professional accounting, tax, or financial advice.

4. Account Registration and Security

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the confidentiality of your password and account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

5. Subscriptions and Payment

5.1 Subscription Plans

The Service is offered under various subscription plans with different features and pricing. Current pricing is available at fintactic.ai/pricing. We reserve the right to modify pricing with 30 days' notice.

5.2 Payment Terms

• Fees are charged in advance on a monthly or annual basis
• All prices are in EUR and exclude applicable VAT
• For EU business customers with valid VAT numbers, reverse charge applies
• Payment is processed through secure third-party payment providers

5.3 Free Trial

We may offer free trials at our discretion. At trial end, your subscription will automatically convert to a paid plan unless cancelled.

5.4 Refunds

In accordance with Estonian consumer protection law and EU Directive 2011/83/EU, you have the right to withdraw from a subscription within 14 days of purchase without giving any reason. After 14 days, fees are non-refundable except as required by law.

6. User Data and Ownership

6.1 Your Data

You retain all ownership rights to your User Data. We claim no intellectual property rights over the data you upload or create within the Service.

6.2 License Grant

You grant Fintactic a limited, non-exclusive license to access, process, and display your User Data solely for the purpose of providing the Service, including AI analysis and generating insights.

6.3 Data Export

You may export your User Data at any time through the Service's export functionality. Upon account termination, you have 30 days to export your data before deletion.

6.4 Data Processing

Our processing of personal data within User Data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement (DPA) available upon request.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to process data for competing products without consent
• Share account credentials or allow unauthorized access
• Use automated means to access the Service without authorization
• Upload data that infringes third-party intellectual property rights

8. Intellectual Property

The Service, including its design, features, AI models, algorithms, software, and documentation, is owned by Fintactic OÜ and protected by Estonian and international intellectual property laws.

"Fintactic" and the Fintactic logo are trademarks of Fintactic OÜ. You may not use our trademarks without prior written consent.

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term.

9. AI-Powered Features

Our Service includes AI-powered analytics, forecasting, and insights. You acknowledge that:

• AI outputs are generated algorithmically and may contain errors
• AI insights are for informational purposes and not financial advice
• You are responsible for verifying AI-generated analysis before making decisions
• AI models may be updated, which could affect output consistency
• We do not guarantee specific accuracy levels for AI predictions

10. Service Availability and Support

10.1 Availability

We strive to maintain 99.9% Service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated at least 24 hours in advance when possible.

10.2 Support

Support is provided via email during business hours (CET). Response times vary by subscription plan. Enterprise customers may have access to priority support and dedicated account management.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY ESTONIAN LAW AND EU REGULATIONS:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED. THIS DISCLAIMER DOES NOT AFFECT YOUR STATUTORY RIGHTS AS A CONSUMER UNDER EU AND ESTONIAN LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Fintactic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
• Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not liable for decisions made based on AI-generated insights or financial analysis provided by the Service.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages. Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under Estonian or EU law.

13. Indemnification

You agree to indemnify and hold harmless Fintactic OÜ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your User Data, your violation of these Terms, or your violation of any third-party rights.

14. Term and Termination

14.1 Term

These Terms remain in effect while you use the Service. Paid subscriptions automatically renew unless cancelled before the renewal date.

14.2 Termination by You

You may terminate your account at any time through the account settings. Cancellation takes effect at the end of the current billing period.

14.3 Termination by Us

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Pose a security risk to the Service or other users

14.4 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export, after which it will be deleted in accordance with our Privacy Policy.

15. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to changes, you must discontinue use and may cancel your subscription.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Harju County, Estonia.

For consumers residing in the EU, this choice of law and jurisdiction does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence, nor your right to bring proceedings in your local courts.

17. Dispute Resolution

Before initiating legal proceedings, you agree to contact us at legal@fintactic.ai to attempt informal resolution. We will respond within 14 business days.

EU consumers may also use the Online Dispute Resolution platform provided by the European Commission at: https://ec.europa.eu/consumers/odr

Estonian consumers may contact the Consumer Protection and Technical Regulatory Authority (Tarbijakaitse ja Tehnilise Järelevalve Amet) for assistance.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fintactic regarding the Service.

18.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

18.5 Language

These Terms are provided in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
